Welcome to PayStream Pro. By accessing or using our financial management platform, website, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and PayStream Pro ("Company," "we," "our," or "us").

2. Description of Service

PayStream Pro provides a cloud-based financial management platform that includes:

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use our Service. By registering, you represent that you meet these requirements.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

4. Subscription Plans and Billing

4.1 Plans

4.2 Free Trial

New users may be eligible for a free trial period. At the end of the trial, you will be charged unless you cancel.

4.3 Billing

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days notice

4.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of the current billing period.

Our Service integrates with third-party providers:

Payment processing is provided by Stripe. By using payment features, you agree to Stripe's Terms of Service.

5.2 Plaid

Bank connectivity is provided by Plaid. By connecting bank accounts, you agree to Plaid's Terms.

5.3 Twilio

SMS notifications are powered by Twilio. Standard messaging rates may apply from your carrier.

6. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service
• Use the Service to send spam or unsolicited communications
• Impersonate any person or entity
• Use the Service for money laundering or fraudulent activities
• Reverse engineer, decompile, or disassemble the Service

7. Intellectual Property

7.1 Our Property

The Service, including its original content, features, and functionality, is owned by PayStream Pro and is protected by copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of data you input into the Service. By using the Service, you grant us a limited license to use, store, and process your content solely to provide the Service.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.

9. SMS Communications

By providing your phone number and opting into SMS notifications, you agree to receive text messages from PayStream Pro regarding:

• Payment reminders and confirmations
• Invoice notifications
• Account alerts and security notices
• Service updates

Message frequency varies. Message and data rates may apply. Reply STOP to opt out at any time. Reply HELP for assistance.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• The results obtained from using the Service will be accurate or reliable

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYSTREAM PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless PayStream Pro and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service ceases immediately
• We may delete your data after a reasonable retention period
• Provisions that by their nature should survive termination shall survive

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Salt Lake County, Utah.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
